FALMOUTH EDIC EXECUTIVE SESSION MEETING:  Sept 12, 2017

10:15 am* MOTION: Galasso made a motion to move into Executive Session in respect to the Peter Pan rent / lease negotiation. Simmler 2nd. All in Favor. Roll Call: Aye Chris Simmler, Aye Christopher Langlais, Aye Michael Galasso, Aye Susan Moran, Aye Jim Fox, Aye Brooks Bartlett, Aye Chris Land.

10:15 PETER PAN LEASE – Jim Fox

  • Fox contacted the President of Peter Pan, and he agreed to pay for the invoice that was sent to them last month for full operating costs. Approximately $30 a foot – for 2,000 sq. ft. Peter Pan was invoiced for August and September 2017 - $4,801. per month, inclusive of a $500 a month management fee to the EDIC.

  • Peter Pan thought the Station cleaning expense was high. Fox advised PP that they were welcome to put forth an alternative cleaning service provider for consideration, however, they must meet current Scope of Work criteria as the EDIC has defined. Moran suggested that they do this within a defined period of time, as to not let this issue be delayed.

  • Once a year the EDIC will review the operating expenses they are being charged for.

  • It is a Tenant at Will agreement and Peter Pan has signed an agreement.

  • When/if the Station obtains another tenant, the rent for Peter Pan will be reviewed and potentially adjusted.

  • Simmler asked when we could report the rental agreement to MassDOT. Fox clarified that we are not receiving any rent from Peter Pan, but rather Peter Pan is paying for all operating expense plus a management fee to the EDIC. It was agreed by the Board to notify MassDOT once the first invoice is paid by Peter Pan.

  • Fox agreed to pursue conversation with Peter Pan regarding the management of the potential Parking Lot project.

A motion was made by Moran to adjourn the Executive session. Land 2nd. Roll Call: Michael Galasso Aye, Susan Moran Aye, Christopher Simmler Aye, Christopher Langlais Aye, Jim Fox Aye, Brooks Bartlett Aye, Christopher Land Aye. All in Favor. Motion Passed.
